The Munich climate-tech startup Ampeers Energy has completed its corporate restructuring. As of January 1, 2026, the operating business of the former Ampeers Energy GmbH was transferred to Ampeers Group GmbH as part of a transfer-based restructuring. This step follows preliminary insolvency proceedings that were opened at the turn of the year.
Transfer-based restructuring is an established instrument in Germany for restructuring economically troubled companies. Assets and operating units are transferred to a new company, while the old company is wound down. The goal is an orderly continuation of business operations under new legal conditions and equal treatment of creditors.
Ampeers Energy is one of Munich’s energy and climate-tech startups. The company works at the intersection of real estate, energy transition, and climate strategy, addressing a central area of action: the economic decarbonization of existing building stock.
During the restructuring, most of the company’s structures and jobs were preserved. This means Ampeers Energy remains an established player in the local ecosystem. Parallel to the restructuring, independent financial investors participated in the new company with a mid-single-digit million amount. The financing is intended to stabilize the economic basis following the insolvency proceedings.
Insolvency administrator Axel W. Bierbach from the law firm Müller-Heydenreich Bierbach & Kollegen guided the process:
“I’m pleased that we were able to successfully complete the investor process within a very ambitious timeframe and ensure that the team and the company’s performance remained intact.”
Management expanded, tenant electricity restructured
The operational management of the new company continues to be headed by Dr. Karsten Schmidt and Tobias Müller. Dr. Maurizio Lindemann, who previously led the company Growlution, will join the management team in the future. That business simultaneously served as the corporate basis for the new structure and was transferred into Ampeers Group GmbH.
In terms of content, Ampeers Energy continues to focus on climate and modernization strategies for existing building stock. This includes the analysis of emissions and consumption, the development of renovation and photovoltaic concepts, and the planning and implementation of corresponding projects for building owners.
As part of the restructuring, the Munich startup is restructuring its tenant electricity business. As of January 2026, external service provider EM Energiemanagement will take over the operational management and billing of customer-owned tenant electricity projects. For software solutions to bill local electricity projects, Ampeers Energy will cooperate with Solarize in the future. Strategically, the company remains active in this segment as a consulting partner. The startup complements its existing partnerships, including with Polarstern, with additional electricity usage models.
Dr. Karsten Schmidt, co-founder and managing director of Ampeers Energy, says:
“We see that our customers increasingly need different models for using PV electricity. The transfer strengthens our neutrality in selecting the right model and gives us more room to focus on strategy and implementation.”
With completion of the transfer-based restructuring, Ampeers Energy’s corporate restructuring is finalized. Going forward, the operating business will be managed by Ampeers Group GmbH.
